Rule 506(c)

Rule 506(c) (Issuer and Investor related) – Effective September 23, 2013, this Rule enables “general solicitation” (i.e. public advertising) for Regulation D offerings where only Accredited Investors purchase the securities. However,  Rule 506c requires that Accredited Investors (see Accredited Investor Questionnaire) provide third-party verification that they meet either the income test or net worth test required to participate in a Rule 506c offering (see Accredited Investor Verification Guidelines).  In the past, self-verification was sufficient.
