Regulation D

Regulation D (Debt or Equity) – This Regulation was established by the SEC in the 1980’s to more specifically define a manner of privately offering securities, also referred to as a “safe harbor”.  Most companies issuing private securities do so by following one of the Rules within Regulation D.  Regulation D is comprised of Rules which provide more specific guidance to Issuers and Investors (See Regulation D).
